1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User", or "Merchant") and RupiyaX ("we", "us", or "our"), concerning your access to and use of the RupiyaX platform, API, dashboards, and associated services (collectively, the "Services").

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms entirely. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Nature of the Services & Liability Limitations

RupiyaX operates strictly as a technology and software facilitator providing API-driven and dashboard-based instructions for automated payouts. We are exclusively a technology provider. We are not a bank, non-banking financial company (NBFC), payment aggregator, escrow agent, or money transmitter. We provide a software routing layer that interfaces with underlying authorized banking and financial service partners.

• Absolute Responsibility for Data: You assume full, absolute responsibility for the accuracy of all banking details, routing numbers, beneficiary names, and transfer amounts submitted through our platform.
• No Liability for Execution: RupiyaX shall not be held liable for any delayed, failed, frozen, or misdirected transfers arising from incorrect data provided by you, banking infrastructure downtime, or actions taken by partner banks.
• Commercial Disputes: Any disputes regarding the underlying commercial transaction (refunds, chargebacks, non-delivery of goods/services) must be resolved directly between the payer and the payee without the involvement of RupiyaX.

3. Account Registration & Security

To utilize the Services, you must undergo our corporate onboarding and Know Your Customer (KYC)/Know Your Business (KYB) verification processes. You agree to provide true, accurate, current, and complete information.

You are solely responsible for maintaining the strict confidentiality of your account credentials, API keys, and access tokens. You agree to notify us immediately of any unauthorized access or breach of security. RupiyaX will not be liable for any loss or damage arising from your failure to protect your credentials.

4. Strictly Prohibited Activities

The Services may only be used for lawful business purposes. You explicitly agree not to use the Services to facilitate, process, or route funds related to any of the following restricted categories. RupiyaX maintains a zero-tolerance policy for these activities:

• Gaming, Betting, and Gambling: Any form of online or offline gambling, sports betting, casinos, lotteries, games of skill or chance with monetary prizes, or related promotional activities.
• Cryptocurrency and Virtual Assets: Crypto exchanges, token sales, Initial Coin Offerings (ICOs), NFTs, fiat-to-crypto ramping, or any operations relating to unregulated virtual digital assets.
• Unlawful and Illicit Activities: Money laundering, terrorist financing, narcotics, illegal pharmaceuticals, counterfeit goods, unlicensed weapons, or any activity in violation of local, state, or international law.
• High-Risk Financial Services: Unregulated Forex trading, binary options, pyramid schemes, multi-level marketing (MLM), or unregistered money service businesses (MSBs).
• Adult Content: Pornography, escort services, or any sexually explicit material or services.

Any attempt to process transactions related to the above restricted categories will result in immediate termination of your account and reporting to relevant regulatory and law enforcement authorities.

5. Account Suspension, Termination, & Freezing of Funds

RupiyaX reserves the unconditional right to suspend, restrict, or entirely terminate your access to the Services, at our sole discretion, immediately and without prior notice or liability, for any reason, including but not limited to:

• Violations or breaches of these Terms of Service.
• Suspicion of fraudulent, illegal, or prohibited activities (as outlined in Section 4) linked to your account.
• Requests by law enforcement, government agencies, or our banking partners.
• Unexpected technical, security, or infrastructural issues affecting the integrity of the platform.

Freezing of Funds: If we or our banking partners detect anomalous, suspicious, or prohibited activity, we reserve the right to freeze the funds currently traversing the platform routing layer. Frozen funds may be held indefinitely pending an internal investigation or instructions from law enforcement or regulatory authorities.

6. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, databases, API documentation, algorithms, software, designs, and graphics (collectively, the "Content") and the associated trademarks and logos (the "Marks") are our proprietary property. They are protected by copyright, trademark, and intellectual property laws. No right, title, or interest is granted to you to use them without our explicit, prior written permission.

7. Data Security & Confidentiality

We implement strict, industry-standard cryptographic and operational security measures to protect your data. However, internet transmissions are never entirely secure. You grant us the right to collect, store, and share transaction data with necessary banking partners, regulatory compliance bodies, and law enforcement as required by law to execute payouts and maintain platform integrity.

8. Indemnification

You agree to defend, indemnify, and hold RupiyaX, its affiliates, agents, partner banks, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties; or (4) your violation of the rights of a third party or any applicable laws.

9. Modifications to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms. Continued use of the Services after such modifications constitutes your acknowledgement and acceptance of the revised Terms.
